2. Our Services
RMJ Consulting Service provides a range of professional services including branding and identity design, web and e-commerce development, ERP implementation, SAP consulting and support, IT infrastructure services, engineering design services, and trading and business consulting.
Service Engagement: All service engagements are governed by individual service agreements, proposals, or contracts that will be provided upon engagement. These agreements will specify the scope of work, deliverables, timelines, payment terms, and other project-specific conditions.
Service Proposals: Quotations, estimates, and proposals provided by RMJ Consulting are valid for a period of 30 days from the date of issue unless otherwise specified. All proposals are subject to change based on detailed project assessment and final scope definition.
Project Changes: Any changes to the agreed scope, timeline, or deliverables must be documented in writing and approved by both parties. Additional work beyond the original scope may result in revised timelines and additional charges.
3. Payment Terms
Payment terms, schedules, and conditions are defined in individual service agreements for each engagement. Unless otherwise agreed in writing:
Invoicing: Invoices are raised as per the payment milestones defined in the service agreement. All payments are due within 15 days of invoice date unless otherwise specified.
Late Payments: Late payments may attract an interest charge of 1.5% per month on the outstanding amount. RMJ Consulting reserves the right to suspend services if payments remain overdue beyond 30 days.
Taxes: All fees quoted are exclusive of applicable taxes including GST. Taxes will be charged as per prevailing Indian tax laws and regulations.
4. Intellectual Property
All content on the RMJ Consulting website, including but not limited to text, graphics, logos, images, software, designs, and brand elements, is the intellectual property of RMJ Consulting Service and is protected under applicable Indian and international intellectual property laws.
Our IP: RMJ Consulting retains all rights to proprietary methodologies, frameworks, tools, templates, and reusable components developed during service delivery. Our brand name, logo, tagline “Branding • Technology • Consulting,” and associated brand elements are trademarks of RMJ Consulting Service.
Client IP: Client-specific deliverables, custom designs, custom code, and project outputs become the property of the client upon full payment of all fees as defined in the service agreement, unless otherwise stated in the contract.
Third-Party IP: Any third-party software, tools, or licensed materials used in service delivery remain the property of their respective owners and are subject to their individual license terms.
5. Confidentiality
Both RMJ Consulting and the client agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the engagement. Confidential information includes business strategies, technical data, financial information, project details, trade secrets, and any information marked as confidential. This obligation of confidentiality survives the termination of any service agreement for a period of two years unless otherwise agreed in writing.
6. Warranties and Disclaimers
RMJ Consulting strives to deliver high-quality services that meet the agreed specifications and industry best practices. However, we provide our services and website on an “as-is” and “as-available” basis.
No Guarantee of Results: While we apply our best expertise and proven methodologies, we do not guarantee specific business outcomes, revenue increases, cost savings, or ROI from our consulting, IT, or branding services, as results depend on numerous factors beyond our control.
Website Availability: We do not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components. We reserve the right to modify, suspend, or discontinue any part of the website at any time without prior notice.
7. Limitation of Liability
To the maximum extent permitted by applicable Indian law, RMJ Consulting Service, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our website or services.
Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. Either party may terminate a service engagement as per the terms specified in the individual service agreement. RMJ Consulting reserves the right to terminate or suspend access to our website and services immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, all provisions that by their nature should survive termination shall remain in effect, including intellectual property rights, confidentiality obligations, and limitation of liability.
9. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms, our website, or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Chennai, Tamil Nadu. The courts of Chennai, Tamil Nadu, India shall have exclusive jurisdiction over any matters not subject to arbitration.
